Terms of Use
1. Scope
- These Terms govern the contractual relationship between Recal GbR, Donaustraße 44, 12043 Berlin (“Recal”, “we”) and users of our SaaS platform at https://recal.dev.
- Conflicting or supplementary conditions of the user shall not become part of the contract unless we expressly agree in writing (§ 305 BGB).
2. Description of Services
- Recal provides a cloud platform for managing and analysing software projects.
- We warrant a monthly uptime of 99.6%. Scheduled maintenance, force majeure and outages beyond our control are excluded.
3. Registration and Account
- Use of the platform requires an account via the Clerk authentication service.
- Registration data must be complete and correct. Access credentials must not be shared with third parties.
4. User Obligations
- Users must comply with applicable law and these Terms while using the service.
- It is prohibited to upload content that infringes third-party rights or violates criminal or youth-protection laws.
5. User-Generated Content
- Users are solely responsible for content they upload; Recal does not adopt such content as its own.
- We will remove unlawful content promptly upon becoming aware of it (§§ 8–10 DDG).
6. External Links
Our platform contains links to third-party websites; we assume no liability for their content.
7. Intellectual Property & Software
- All rights in the platform and software belong to Recal or the respective rights holders.
- Users receive a non-exclusive, non-transferable right to use the platform for the term of the contract.
8. Liability
- We are liable without limitation for intent, gross negligence, and injury to life, body or health.
- For simple negligence, we are liable only for foreseeable damages typical for this type of contract arising from the breach of essential contractual duties.
- Liability for user content or external links is excluded.
9. Data Protection
Processing of personal data is governed by our current Privacy Policy.
10. Term & Termination
- The contract runs for an indefinite period and may be terminated by either party with 14 days’ notice to the end of a calendar month, unless otherwise agreed.
- The right to terminate for cause remains unaffected.
11. Changes to the Terms
Recal may amend these Terms with prospective effect. Changes will be notified at least four weeks before they take effect by e-mail. If the user does not object within that period, the changes are deemed accepted.
12. Governing Law & Venue
- These Terms are subject exclusively to German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- Where permissible, exclusive venue shall be Berlin, Germany. Statutory venues for consumers remain unaffected.
13. Severability
Should any provision of these Terms be or become invalid, the remaining provisions shall remain in full force and effect.
